Voting by members

(1) Except as otherwise provided in the Memorandum or Articles, all shares vote as one class and each whole share has one vote. (2) The directors of a company incorporated under this Act may fix the date notice is given of a meeting as the record date for determining those shares that are entitled to vote at the
