Limited liability company as a separate legal entity

(1) No action or proceeding shall be entertained by the Court which is based upon, seeks or purports to disregard a limited liability company as a valid, separate and distinct legal (2) Notwithstanding any other law, the fact that a limited liability company is or may be closely affiliated with other entities shall not be grounds for disregarding the separate existence of the limited liability company.
