Duty of Board

(1) Not later than six months after the date upon which the financial year of the company ends, the Board shall convene an annual general meeting and at such meeting the Board shall receive the audited balance sheet and accounts and the report of the auditor and shall deal with such other business as it thinks fit for which notice must be given. The notice shall be given at least one month before the date fixed for the meeting. (2) The auditor shall attend the annual general meeting and shall provide the Board with all explanations in connection with matters arising out of his report as may be required by the Board.
